2. Business-to-Business Sales
Our website primarily supports B2B and institutional procurement. Certain products, pricing, payment terms, promotions, or purchasing programs may be available only to qualified business, government, education, healthcare, or other organizational customers.
Noviex LLC reserves the right to verify business information before accepting or processing an order.
3. Product Information
We make reasonable efforts to provide accurate product titles, manufacturer part numbers, specifications, descriptions, images, compatibility information, availability, and other product data.
Because product information may originate from manufacturers, distributors, or other authorized data sources, specifications and images may change without prior notice.
Manufacturer specifications shall take precedence if any discrepancy exists between our website and the manufacturer's current documentation.
4. Pricing
All prices are displayed in U.S. dollars unless otherwise stated.
Prices, promotions, discounts, availability, freight charges, and other commercial terms may change without notice. Pricing errors may occasionally occur due to supplier feeds, manufacturer updates, system errors, or other circumstances.
Noviex LLC reserves the right to correct pricing errors before shipment. If an accepted order contains a material pricing error, we will contact the customer before proceeding whenever reasonably practicable.
5. Quotations
Formal quotations are valid only for the period stated on the quotation.
Quoted pricing may depend on quantity, availability, manufacturer programs, project requirements, shipping location, contract eligibility, and other commercial factors.
A quotation does not constitute a guarantee of inventory until the order has been accepted and allocated for fulfillment.
6. Orders and Acceptance
Submission of an order, purchase order, or payment does not automatically constitute final acceptance.
Orders are subject to:

Pricing verification
Payment authorization
Fraud and compliance review
Shipping eligibility
Manufacturer or distributor acceptance where applicable
Noviex LLC may decline, cancel, limit, or request additional verification for any order before shipment.
7. Product Availability
Inventory information may be obtained from manufacturers, distributors, warehouses, and fulfillment partners and can change rapidly.
A product displayed as available may become unavailable before the order is processed.
If an item becomes unavailable, we may offer an alternative product, provide an estimated availability date, partially fulfill the order, or cancel the affected item and issue an applicable refund.
8. Payment
Available payment methods may include credit card, electronic payment, approved purchase order, or other payment arrangements authorized by Noviex LLC.
Customers approved for credit terms must comply with the payment conditions shown on their invoice, quotation, or account agreement.
Past-due balances may result in suspension of account privileges, credit terms, pending orders, or other services.
9. Taxes
Applicable sales, use, excise, or other taxes may be added to orders where required by law.
Tax-exempt organizations must provide valid exemption documentation before an order is processed as tax exempt.
Customers remain responsible for taxes not collected by Noviex LLC when legally applicable.
10. Shipping and Delivery
Orders may ship directly from Noviex LLC, manufacturers, authorized distributors, or third-party fulfillment locations.
Delivery dates are estimates unless expressly guaranteed in writing.
Noviex LLC is not responsible for delays caused by carriers, manufacturers, distributors, weather conditions, natural disasters, transportation interruptions, government actions, supply-chain disruptions, or circumstances outside our reasonable control.
Qualifying orders over $100 may receive free standard shipping where the promotion is offered. Oversized products, freight shipments, special handling, remote destinations, expedited services, and certain manufacturer-direct shipments may be excluded.
11. Split Shipments
Orders containing multiple products may ship from different warehouses or distribution locations and may arrive in separate shipments.
Separate tracking numbers may therefore be provided for the same order.
12. Inspection of Delivery
Customers should inspect shipments promptly after delivery.
Any visible shipping damage, shortage, incorrect product, or delivery discrepancy should be reported to Noviex LLC as soon as reasonably possible.
Customers should retain the original packaging, shipping labels, documentation, and damaged merchandise until the claim has been resolved.
13. Returns
Returns are subject to Noviex LLC's current Return Policy and any applicable manufacturer or distributor restrictions.
Return authorization may be required before merchandise is shipped back.
Products returned without authorization may be refused.
Certain products may be non-returnable, including special-order items, customized products, activated software, opened software licenses, downloadable products, consumables, clearance merchandise, configured products, and items designated as non-returnable by the manufacturer or distributor.
14. Restocking and Return Shipping
Where applicable, returned merchandise may be subject to restocking fees, return freight charges, or other supplier-imposed charges.
The customer is responsible for return shipping unless the return results from an error attributable to Noviex LLC or otherwise provided under our Return Policy.
15. Manufacturer Warranties
Products may include warranties provided directly by their respective manufacturers.
Unless expressly stated otherwise in writing, Noviex LLC does not provide an independent product warranty beyond applicable manufacturer warranty rights.
Warranty eligibility, duration, repair procedures, replacement conditions, and technical support are governed by the applicable manufacturer's terms.
16. Software, Licensing and Digital Products
Software licenses, subscriptions, cloud services, digital products, support agreements, and renewals may be governed by additional terms established by the manufacturer, publisher, or service provider.
By purchasing or activating such products, customers agree to the applicable publisher or manufacturer licensing terms.
Activated licenses, subscription services, electronic delivery products, and digital products may be non-cancellable and non-returnable.
17. Manufacturer Programs and Special Pricing
Certain pricing may be based on manufacturer special-bid programs, government programs, educational discounts, project registration, promotional pricing, deal registration, or other restricted programs.
Customers may be required to provide end-user information or supporting documentation to qualify.
Special pricing may not be transferable to another customer, project, or end user.
18. Purchase Orders
Acceptance of a customer's purchase order does not constitute acceptance of additional or conflicting terms printed on that purchase order.
Unless expressly agreed to in writing by an authorized representative of Noviex LLC, these Terms and Conditions govern the transaction.
19. Resale and Export Compliance
Customers are responsible for complying with applicable U.S. export-control, sanctions, trade, resale, and end-use laws.
Products may not be sold, transferred, exported, re-exported, or used in violation of applicable laws or manufacturer restrictions.
Noviex LLC may request end-user, destination, or compliance information before fulfilling certain transactions.
20. Website Accounts
Customers are responsible for maintaining the confidentiality of their login credentials and for activity conducted through their accounts.
Customers must provide accurate and current account information.
Noviex LLC may suspend or terminate accounts that involve unauthorized activity, fraud, abuse, security risks, or violations of these Terms.
21. Intellectual Property
Website content, including text, graphics, layouts, proprietary databases, original materials, and Noviex LLC branding, is owned by or licensed to Noviex LLC and may not be reproduced or commercially exploited without authorization.
